Domestic and International Tax: Practitioner with 15+ years of significant federal tax experience including tax controversy and litigation; taxation issues regarding acquisitions, restructurings and dispositions; partnership taxation; state and local taxation; and taxation of international business transactions. Particular attention will be given to the individual's ability to retain his/her relationships with existing and past client contacts.

Patent Litigation: Practitioner should have 15+ years background and experience in one of the following technical areas: electrical, mechanical, chemical, bio genetic, bio pharm, computer technologies or physics. Individual should have substantial experience in patent counseling and litigation and there is a preference for individuals with substantive trial experience to verdict. Particular attention will be given to the individual's ability to retain his/her relationships with existing and past clients.
Advertising Law: Practitioner with 15+ years experience in marketing and advertising matters. The individual should have a thorough grounding in Federal Trade Commission regulations; deceptive trade statutes; content and accuracy of marketing material; trademark protection, and advising on corporate advertising matters. Valued is experience in the area of direct mail advertising and marketing. Also preferred would be an energetic individual who thinks creatively and has an enterprising perspective on advertising matters. Particular attention will be given to the individual's ability to retain his/her relationships with existing and past clients.
Business/Commercial Litigation: Practitioner should have 12+ years professional background and experience in handling all types of major business disputes through litigation or alternative dispute resolution. Litigation experience could be in the areas of insurance, securities, financial services, employment law and/or marketing. There is a preference for individuals with substantive trial experience to verdict. Business/Commercial Litigation: Practitioner(s), group or small firm should be recognized for its background and experience in handling all types of major business disputes through litigation or alternative dispute resolution. Litigation experience could be concentrated in the areas of insurance, securities, financial services, products liability and employment law. Particular attention will be given to the individual's or groups ability to retain their relationships with existing and past clients.

Investment Company/40 Act: Practitioner should have 15+ years experience in representation of investment companies and advisors. This should include investment company reorganization, deregistration of closed-end investment companies, service provider agreements, proxy statements, sales literature, SEC exemptive applications, compliance procedures, board materials, compliance audits, networking agreements, broker dealer issues and related corporate and security issues relating to operation companies. Particular attention will be given to the individual's ability to retain his/her relationships with existing and past clients contacts.
Environmental Transactions and Litigation: Practitioner should have 15+ years experience in several of the following areas: Superfund, RCRA, Clean Air and Clean Water Acts, TSCA, NEPA, FLPMA and OSHA. 5. Major southeastern law firm with PPP around $350K is in the process of expanding its Atlanta office in the following practice areas:
Financial Institutions: Practitioner should have 12+ years experience in representation of financial institutions in the areas of unsecured and asset-based commercial loans of all varieties, including acquisition financing, working capital loans, loan syndications, subordinated loans, accounts receivable financings, and real estate loans. Particular attention will be given to the individual's ability to retain his/her relationships with existing and past client contacts.
Corporate Finance: Practitioner should have 12-15 years experience in a broad array of corporate finance transactions. The core of this person's practice should be in mergers and acquisitions including sales of assets, statutory share exchanges, exchange offers, hostile and friendly tender offers, proxy contest and a wide variety of leverage buy-out techniques for management or employee purposes. Particular attention will be given to the individuals ability to retain his/her relationship with existing and past client contacts.
Real Estate Finance and Development: Practitioner should have 12+ years experience in commercial real estate transactions including: financings, mortgage securities, portfolio sales and acquisition, leasing, zoning and land use, development, corporate real estate, retailers, workouts and restructurings and general borrower/lender representation. Land use and development experience a plus. Particular attention will be given to the individual's ability to retain his/her relationships with existing and past client contacts.
6. Major health care and labor firm with multiple U.S. offices and PPP around $400K seeking to expand its corporate and securities practice in Washington, DC:
Corporate Finance/Securities: Practitioner should have 12-15 years experience in mergers and acquisitions including sales of assets, the formation, operation sale, acquisition, merger consolidation, dissolution and financing of business organizations, the acquisition, disposition, leasing and financing of business properties and compliance with the regulations of various federal and state governmental agencies. It would also be valuable if the individual had experience in the public offering and private placement of securities and securities counsel to publicly-traded companies. Particular attention will be given to the individual's ability to retain his/her relationships with existing and past client contacts.
7. Top 10 New York law firm with an office in Washington, DC and PPP around $1M is looking to grow two practice areas:
SEC Enforcement Litigation: Practitioner should have 15-20 years experience in enforcement related actions. The individual must have experience with the Enforcement Division of the SEC and experience overseeing SEC reporting compliance and counseling on a broad range of complex business and commercial matters. These could include combining derivative products, asset repackagings, initial public offerings, exchange and secondary offerings, private placements and workouts of subordinated debt, convertible debt and equity securities, venture capital and start-up financing in the U. S. and Eurodollar markets. Particular attention will be given to the individual's ability to retain his/her relationships with existing and past client contacts.
Antitrust: Practitioner should have 15-20 years experience in antitrust matters. This should include a thorough grounding in diverse aspects of competition law that includes experience in mergers and acquisitions, joint ventures and strategic alliances, distribution and pricing, benchmarking and other information exchanges, international competition matters, market access, consumer protection and false advertising, criminal price-fixing and market allocation conspiracies, Robinson-Patman and antitrust compliance. Particular attention will be given to the individual's ability to retain his/her relationships with existing and past client contacts.
8. Fourth largest law firm in Pacific Northwest with PPP around $250K is in the process of expanding its Seattle office in the following practice areas:
Securities: Practitioner should have 10-15 years securities related experience. This should include a thorough grounding in 33-34 Act work including financing arrangements; analyzing securities law matters; reviewing and managing the preparation of offering documents; directing research and advising on corporate governance matters; advising on stock-based plans; and providing legal advice to clients responding to the SEC on disclosure and accounting issues. Also, valued would be experience with convertible debt and equity securities, placement of senior and subordinated debt, recapitalizations and strategic refinancings.
Corporate Finance: Practitioner should have 10-15 years in all aspects of corporate finance to include structuring of complex debt and equity transactions. Also, valued would be experience with commercial finance transactions, equity investment strategies, letters of credit, securitizations, note sale transactions and the Uniform Commercial Code. Finally, an attorney with strong client relationships and business development skills would receive additional consideration.
9. One of America's largest pharmaceutical companies is seeking to expand its Research and Development teams at two of its regional facilities in the Midwest and Northeast in the following practice areas:
Patent Prosecution: Practitioner should have three to fifteen years of patent law experience in the preparation and prosecution of patent applications. Company is seeking candidates with experience in the pharmaceutical area, including chemical entity patent applications. In addition to patent development, the roles of the IP attorney may include project management, counseling, and advising company leadership on multi million-dollar discoveries. At a minimum, an undergraduate degree in the various domains of Chemistry or Biology is required; however, advanced degrees in these disciplines are especially valued. Finally, the Company values patent lawyers who have substantive "bench or lab" time as a part of their backgrounds and are able to work collectively with scientific, business and other legal personnel. This in-house position includes competitive salary, company stock option plan, and relocation expenses.
